Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the EduGears AI Studio website and product (together, the “Service”). By using the Service, you agree to these Terms.

The Service

EduGears AI Studio lets you author courses, publish them as access codes, and make them available for delivery in third-party LTI 1.3 learning management systems. Features and availability may change as the product evolves.

Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Provide accurate information and keep it up to date. The free plan is offered to schools, universities, training providers, publishers and other organizations. We review each new free account, and it is deactivated automatically if we cannot verify the organization behind it — for example, where it was registered with a personal email address rather than an address on the organization's own domain.

Your content

You retain ownership of the courses and materials you create or upload. You grant us the limited rights needed to host, process, and deliver your content to the institutions that redeem your access codes. You are responsible for ensuring you have the rights to the content you publish and that it complies with applicable law. You can export your content — to Common Cartridge, SCORM, or Moodle formats — at any time.

Access codes & distribution

You control distribution of your courses through access codes. By default codes do not expire; you may set an expiry, regenerate a code, or unpublish a course at any time. Unpublishing prevents new redemptions while institutions that have already redeemed retain access so that learners are not interrupted.

Fees, billing & renewal

Paid plans are sold per author seat and billed annually in advance, in US dollars; each seat is one member of your organization. Subscriptions renew automatically each year until cancelled, and you can cancel at any time from Plan & Billing, keeping access until the end of the term you have paid for. Add author seats anytime — the charge is prorated to your renewal date. Seat reductions take effect at your next renewal. The free plan is the trial: annual fees are non-refundable once the subscription is active, except duplicate or erroneous charges reported within 14 days. If a renewal payment fails, your subscription stays active for a grace period of about 14 days while the payment is retried; if it still cannot be collected, the account moves to the free plan. Price changes apply to new subscriptions; seats you add later keep the price of your existing subscription. Subscribers on earlier plans keep their plan and its terms.

Acceptable use

Do not misuse the Service — including by attempting to disrupt it, access it without authorization, infringe others' rights, or upload unlawful content.

AI usage & fair use

AI features consume AI credits on every plan, including text-based course creation, at the published credit costs. Credits come from the free plan's one-time allowance, the one-time credits granted with each author seat, and AI credit packs purchased on a paid plan, which do not expire. On any plan you may instead connect your own AI provider keys (BYOK), in which case your provider bills that usage. No fixed storage quota applies; storage and the Service as a whole are provided under fair use, for the normal course-creation and teaching work of your own organization. We may contact you to discuss a more suitable plan, apply reasonable rate limits, or take other proportionate measures if usage is automated or abnormal, materially exceeds what is typical for an organization of your size, places a disproportionate load on our infrastructure, or involves reselling or sharing access beyond your organization. Except where immediate action is required to protect the service or other customers, we will give reasonable advance notice before taking any measure that affects your access.

Disclaimers & liability

The Service is provided “as is” without warranties of any kind. To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from your use of the Service.

Changes

We may update these Terms from time to time. Material changes will be reflected by updating the date above, and your continued use of the Service constitutes acceptance of the revised Terms.
